- Whether or not the company has been buying and/or selling properties of material value; and,

The continuous increase of International and national regulations, as well as scrutiny by governments, their regulators and enforcement agencies regarding Anti-money laundering, anti-terrorist funding, tax evasion, corrupt practices and requirements for a larger degree of transparency has meant that due diligence and/or business risk assessments has become a necessary service rather than an ancillary service.
Due Diligence in the legal realm is ‘Reasonable steps being taken by a person to avoid committing a tort or offence’, whilst in the business realm it is ‘A comprehensive appraisal of a business undertaken by a prospective buyer, especially to establish its assets and liabilities and evaluate its commercial potential’.
Due Diligence is an investigation or audit of a potential investment, company, business partner or product to confirm all facts, that might include the review of financial records. Due Diligence refers to the research done before entering into an agreement or a financial transaction with another party.
What is important to clarify is that a Due Diligence review is not an audit. Financial Due Diligence in particular, allows the interested party to assess all financial aspects of a potential acquisition to determine what the benefits, liabilities, risks and opportunities are.
